您应当在仔细阅读本协议后选择是否接受本协议，若您同意并接受本协议的内容，您可以开始使用Wink的功能和服务；若你对本协议存在疑问， 或者无法全部或者部分接受本协议，或者在使用过程中需要向Wink公司即美图公司反馈（含建议、投诉、举报等），您可通过以下方式联系我们： 邮箱： support@meitu.com / fawu@meitu.com，电话：400 009 3360。
Wink的部分功能和服务可能是由第三方平台提供（如：腾讯云所提供的语音识别、文本朗读功能）。鉴于本协议不适用于任何其他第三方向您提供的功能和服务，若需使用第三方产品或服务，请关注第三方功能和服务相关用户协议等公示文件。
为了给您提供更完善的视频剪辑、视频美化服务，公司可能依“Wink”软件及相关服务或运营的需要决定、安排或指定其关联公司或继承公司运营“Wink”软件。并且就本协议项下涉及的相关服务，可能会由公司的关联公司或继承公司向您提供。在此提示您，如您知晓并同意接受相关服务内容，您需要接受相关权利义务关系亦受本协议的约束，如您不同意，请通过上述联系方式与我们联系。
1. 本协议的范围：本协议的内容同时包括《美图账号规则》与 《Meitu Wink个人信息保护政策》。
Wink公司及其关联公司可能根据自身对商业、法律与政策等要素的判断，随时更新本协议；未经您明确同意，我们不会削减您按照本协议享有的合法权利。
2. 用户个人信息保护：保护您的用户个人信息是Wink公司及其关联公司的一项基本原则。Wink公司及其关联公司将按照 《中华人民共和国个人信息保护法》等相关法律法规、个人信息保护标准，及本协议《Meitu Wink个人信息保护政策》 等文件的规定收集、存储、使用、管理和保护您的用户个人信息；若您对《Meitu Wink个人信息保护政策》 全部或者部分条款有疑问的，您可根据首部联系方式与我们联系。
3. 美图账号与安全：为更好地使用Wink，您可自行注册美图账号或者在使用其他方式登录情况下随机生成美图账号； 关于您使用美图账号的具体规则，请遵守《美图账号规则》规定。请您在获得美图账号后自行妥善保管账号及密码或者其他登录方式下的账号及密码； 如您保管不善可能导致美图账号与密码失窃、账号被盗用等情况，将使您的权益受损。使用过程中您可根据 《美图账号规则》规定随时终止您的账号，Wink公司也将根据《美图账号规则》 规定管理您的账号。
4. 用户使用方式：您应当合法地使用Wink。除非另有约定，您在Wink观看、分享、保存、收藏、使用的任何他人所发布/分享的图片、视频及其他内容如音乐等,均不能用于任何商业性用途,且权利人声明不得转发的,不可转发。
5. 针对产品中所涉及的AI功能相关服务，使用该服务前您须理解，AI产出内容取决于人工智能对大数据的深度学习，不排除其中部分信息可能存在瑕疵、不合理或引发不快之处；故，您须确保，依法使用本服务生成AI作品，不侵犯任何第三方的版权、商标或其他合法权利，不得将生成的作品用于任何非法用途；如因您的不当使用行为导致任何第三方权益受损的，您将依法承担相应法律责任。
6.为防止混淆和误认，消除、减少不准确生成信息的潜在影响，Wink的AI相关功能将在生成文本的末尾或交互界面的底部添加显著的提示标识，在生成图片的左下角添加显著的提示标识，特别提醒用户内容由AI生成。
7.您不得利用基于Wink AI功能AI等新技术新应用制作、发布、传播虚假信息。您在任何场景下使用、发布或传播利用基于Wink AI功能等新技术新应用制作的内容时，应当符合相关法律法规的要求，并以显著方式予以标识。
8. AI以及云处理功能：您通过使用Wink的视频编辑和美化等功能制作的图片、视频（以下统称 “用户内容” ）中所含有的原始用户图片、视频之知识产权归您所有。Wink推出画质修复、魔法照片、去除水印、图片分辨率修复、3D照片特效、视频补帧的一系列功能，当您使用此类功能时，在产品取得您授权的前提下，您需要将您拍摄的图像、视频上传至后台服务器以完成云处理后再返还给您，生成的用户内容将返回您的设备终端。该信息的上传和处理为提供本功能所必须。我们会按照法律的要求，对您的该类信息在传输和存储的过程中采取严格的加密措施，以确保您的信息安全，对该信息的使用仅限于为您提供本功能服务。服务完成后，系统将自动删除上述信息，不予留存。除此之外的其他功能Wink将不会将您的前述信息上传至后台服务器。此过程涉及您的图像、视频上传、编辑和制作，您使用该类功能时您需要授权Wink公司该项使用权。Wink产品未来可能改版或迭代，此条款并不意味着Wink公司必须提供相关功能或服务的承诺，也不改变您对用户内容的所有权及其知识产权归属，更不影响您对用户内容任何合法使用。
9. 美图社区为厦门鸿天创视科技有限公司向用户提供的内容分享、传播及获取的平台，美图社区通过API技术搭载于美图秀秀APP、Wink APP中，因此您于美图社区中发布的配方内容，您的头像、昵称等将可能根据热度及系统自动标识的内容标签而被同时展示于上述应用程序客户端中。如您于Wink发布的配方被同步展示于如美图秀秀等应用程序客户端中，则该配方可供美图秀秀等客户端用户进行使用、编辑。您可于您的Wink账号下修改、删除您发布的配方，您的相关操作将会同步至上述其他APP中。
8. 用户内容： 除非另有约定，您在通过使用Wink软件及相关服务时上传的原始内容的所有权、知识产权及其他法律权利，归您、您的许可方或者您的关联方所有。在您制作、分享用户内容之前，提示您注意以下内容：
（1）如您希望提高您内容的曝光量及发布效率，您需要授予Wink公司及其关联公司一项为提供Wink平台服务、优化Wink产品和宣传推广您通过Wink制作并于其它平台分享内容价值之目的所须的免费、非独占的，以平台制作、发布、管理和保护等方式使用您的用户内容的许可，如您不同意此种曝光方式或存有疑问，请通过本协议公示的方式通知Wink公司。您的授权并不代表Wink公司对上述信息内容的必然使用，也不改变上述信息内容的所有权及其知识产权归属，更不影响您对上述内容信息任何合法使用；
（2）为满足用户娱乐共享需求,提升用户体验，Wink推出“语音识别、文本朗读”功能。其中，在您使用“语音识别”功能时，您需要授权Wink识别您发布视频所载背景原声。
（3）为满足用户娱乐共享需求,提升用户体验，Wink推出“视频配方”功能。在您使用 “视频配方”功能时，Wink用户可使用您于美图社区发布的歌词、台词、视频所载背景原声、音乐等作为背景跟拍创作新的视频作品或使用您的配方方案制作新的视频内容。同时您应保证上传发布使用的图片和视频等系自己拍摄或创作或经过了权利人的充分合法授权，并不侵害他人合法权益。若您不希望他人使用您的歌词、台词、视频原声、音乐等，您可通过本政策所示的联系方式与我们联系。
（4）在您权益受到侵犯并且导致Wink公司及其关联公司权益受损情况下，如第三方侵犯了您在Wink上制作、分享、发布内容之版权，您愿与Wink公司及其关联公司作为一致行动人，您可授予Wink公司及其关联公司同时代表您，针对进行该侵犯行为的任何第三方，提出警告、投诉、发起或参与行政执法程序或民事、刑事司法程序，或谈判和解，并且您可以在Wink公司及其关联公司认为必要的情况下共同参与该维权行动。
（5）您于社区发布内容之前，Wink提示您应当遵守如下：
1）遵守法律和社区规则，确保发布内容及来源合法，不侵犯任何第三方权利；
2）为提高您于Wink中发布内容的曝光率，Wink将在保留您的账户昵称/作者水印的前提下将您发布的内容同步/分发至Wink及其关联企业、合作方运营的其他客户端上。若您不同意此种曝光方式或存有疑问，请通过本协议公示的方式通知Wink公司。
10. 用户内容制作、分享规范： 您应对通过使用Wink制作、分享的用户内容的真实性、合法性负责。如需获得该信息内容权利人或任何有权第三方（包括但不限于其他网络平台等，以下统称“授权方”）的事先授权或批准的，您应当事先获得该等授权或批准后方可发布或制作。您应当严格遵守相关法律法规，不得直接或间接使用Wink制作、分享如下信息：
(1) 危害国家及社会安全信息，其表现可能包括但不限于反对宪法所确定的基本原则；危害国家安全，泄露国家机密，颠覆国家政权，破坏国家统一；煽动民族仇恨、民族歧视，破坏民族团结；破坏国家宗教政策，宣扬邪教和封建迷信；散布谣言，扰乱社会秩序，破坏社会稳定；宣扬赌博、暴力、凶杀、恐怖或者教唆犯罪；煽动非法集会、结社、游行、示威、聚众扰乱社会秩序；含有法律、行政法规和国家规定禁止的其他内容。
(2) 不安全信息，其表现可能包括但不限于含钓鱼网站链接的相关内容；含木马或其他病毒网站链接及相关内容；含潜在危险、窃取用户隐私等相关内容；影响用户体验或被大量用户举报的未经审核的外链、二维码及其他多媒体等内容。
(3) 垃圾营销信息，其表现可能包括但不限于从事买卖粉丝及相关业务；从事刷评论、刷转发、刷双井号话题词、刷搜索、刷投票、刷有奖活动业务；通过机器或软件等非人力手段对他人页面大量发送广告信息；机器抓取发送的无意义内容、重复内容；利用系统漏洞干扰Wink正常秩序（如盗用其他用户账号等）；影响用户体验或被大量用户举报的、在性质上属于推销宣传推广的营销信息。
(4) 淫秽色情信息，其表现可能包括但不限于发布淫秽、色情内容，包括但不限于招嫖、寻找一夜情、性伴侣等内容；发布以色情为目的的情色文字、情色视频、情色图画等内容；长期发布与淫秽、色情内容擦边的或具有性暗示类的内容。
(5) 侵权信息，其表现可能包括但不限于制作、发布、储存侵犯他人名誉权、肖像权、隐私权、知识产权等合法权利的内容。
(6) 不正当竞争信息，其表现可能包括但不限于发布篡改、增减、删除权利标识的内容；发布未经授权方授权的内容等。
(7) 其他违反法律法规、政策以及社会公序良俗或干扰Wink正常运营及侵犯任何第三方合法权益的信息。
若您违反本协议，若您违反本协议，Wink公司有权根据自身的判断或法律与政策的需要，自主决定并可在不预先通知您的情况下，全部或者部分地选择：（1）暂停或终止对您的软件使用许可并停止相应技术服务，采取包括但不限于限制、冻结或终止美图账号使用措施，并由您自行承担美图账号无法使用后果；（2）诉诸行政执法机构或者司法机关，以追究相应法律责任。若因您违反本协议导致任何第三方损害的（含Wink公司及其关联公司），您应当独立承担责任；Wink公司及其关联公司遭受损失的，您也应当依法赔偿。
11. 投诉举报处理：Wink公司倡议您共同参与维护及监督Wink使用环境的合规与清洁。无论是Wink公司主动发现用户的不当、违法行为，或者是Wink公司根据举报、投诉并初步查实用户存在不当、违法行为，Wink公司均有权立即在无事先通知的情况下采取必要的措施以制止该等行为的继续进行。
12. 增值服务：Wink公司及其关联公司可能针对部分服务以收费方式提供，如您使用收费服务，请遵守相关的协议。若您不同意相关协议及其修改和变更，请暂停使用相关增值服务并可按照首部联系方式与Wink公司进行联系。若您为未满14周岁未成年人，请您在法定监护人陪同下，认真仔细阅读 《Meitu Wink VIP服务协议》并选择是否接受该协议及其服务 。
13. 知识产权声明：
（1）Wink本身自带的所有版本、技术、程序、素材、道具和所有的信息内容（“Wink信息内容”，包括但不限于产品功能、用户界面、操作步骤、商标、专利、计算机软件作品等）的知识产权均归Wink公司、Wink公司许可方或Wink公司关联公司所有，Wink公司及其关联公司对您的软件使用许可在任何情况下均不应视为向您转让其知识产权的部分或者全部。
（2）您通过Wink下载、使用的任何素材及其他Wink信息内容，仅限您个人娱乐、学习、研究或者欣赏使用，未经Wink公司书面同意，不可用于任何商业用途。
（3）您使用Wink相关AI功能生成内容时（以下简称“AI生成内容”），应当遵守法律法规和本协议的条款，对AI生成内容的创作、使用所产生的权益由您享有，并由您自行承担因不当使用AI生成内容而导致的相应责任。
（4）为了美图AI相关功能的稳定运行和产品优化进步，美图将在法律允许的范围内将AI生成内容进行存储并应用于产品优化及AI技术研究用途。
14. 您的知识产权及肖像权等：
（1）Wink尊重并保护您的知识产权，如他人未经您的授权修改您的作品或对您的作品进行歪曲、丑化、篡改，您可以通过司法、行政等救济途径向侵权行为人追偿，如您需要Wink公司的协助，Wink公司会尽力提供协助。
（2）Wink尊重并努力维护您的肖像权、名誉权等合法权益。您在使用Wink软件及相关服务时，如您有合理证据证明您的肖像权、名誉权等合法权益受到侵犯的，您可以通过司法、行政等救济途径向侵权行为人追偿，如您需要Wink公司的协助，Wink公司会尽力提供协助。
15. 第三方服务：Wink中的部分功能和服务（例如：语音识别、文本朗读等相关功能和服务）由第三方提供。您理解，Wink公司是平台服务方，第三方提供的功能和服务由该第三方独立运营并独立承担全部责任。您应当认真阅读该第三方提供的用户协议等相关文件，审慎使用第三方功能和服务。Wink公司不介入您与该第三方之间的利益或纠纷。
16. 不可抗力及其他免责事由： Wink在使用过程中会受到如下不可抗力或者其他因素的影响，包括但不限于：政治原因、社会环境、自然灾害、经济危机、计算机病毒或黑客攻击、服务器或系统不稳定、您所在的特殊位置、任何技术能力、网络质量以及通信线路、计算机故障（以下统称“免责事由”）。因上述免责事由给您造成损失的，Wink公司在法律与政策允许的范围内免责，但若出现上述免责事由时，Wink公司将于第一时间在能力所及最大范围内进行修复或者及时补救。
17. 适用法律与纠纷管辖： 本用户协议适用中华人民共和国大陆地区法律。本用户协议项下争议，由被告住所地法院管辖。
18. 定义及其他
（1）“Wink”是指Wink公司及其关联公司开发、运营、管理的一款应用软件产品，旨在为您提供本协议范围内免费、非独占和全球范围内的软件使用许可及技术服务。本协议项下的“Wink”根据不同的语境将可能指Wink移动端或者Wink公司围绕Wink软件产品提供的相关技术服务。
（2）“Wink公司”指厦门鸿天创视科技有限公司或经由厦门鸿天创视科技有限公司授权，运营、上架和推广不同版本Wink的实际运营公司，如厦门美图网科技有限公司等。
（3）“用户内容”指将可能包括但不限于任何通过使用Wink制作、分享的用户资料、文字、音频、图片、视频以及其他资料等。
（4）“素材”指由Wink公司提供的已经内置于Wink的或者未来即将内置的包括但不限于字体、文字、特效、贴纸、边框、背景、模板、音乐等用于美化、编辑您照片与视频的相关素材与信息。
（5）“发布”是指用户将有关信息内容以记载、存储、提交、传送以及其他任何形式在平台上公开，使其自身、其他用户或不特定公众得以接收该等信息内容的整个过程或过程之一。

Welcome to Meitu's video retouching and editing tool, Wink (hereinafter referred to as "Wink").
Important: Before you ((also referred to as the "user") read and decide whether to accept the "Wink Terms of Service" ("this Agreement"), you are reminded to carefully read and understand the provisions of this Agreement, especially those underlined and in bold. If you are a minor under 14, please read and decide whether to accept this Agreement in the company of your legal guardian.
You must read this Agreement carefully before deciding whether to accept it. If you agree to and accept this Agreement, you may begin using Wink's features and services. If you have any inquiries regarding this Agreement, find any terms unacceptable (in whole or in part), or need to provide feedback (including suggestions, complaints, or reports) during usage, please contact us via: Customer Service QQ: 800019025 Emails: support@meitu.com, fawu@meitu.com or Phone: 400-009-3360 .
Some of Wink's features and services may be provided by third-party platforms (e.g., voice recognition and text-to-speech functions powered by Tencent Cloud). Since this Agreement does not apply to any features or services provided by third parties, please review the relevant documents, such as their Terms of Services, if you need to use those products or services.
In order to provide you with more comprehensive video editing and retouching services, the Company may, as needed for the operation of Wink and related services, decide, arrange, or designate its affiliates or successors to operate Wink. Moreover, the services covered under this Agreement may also be provided to you by the Company’s affiliates or successors. Please note that by acknowledging and agreeing to the relevant services, you agree that the corresponding rights and obligations will also be governed by this Agreement. If you do not agree, please contact us via the methods provided above.
1. Scope of this Agreement: This Agreement also includes the Meitu Account Regulations and the Wink Personal Information Protection Policy.
Wink and its affiliates may occasionally update this Agreement based on their assessment of commercial, legal, and policy considerations. We will not diminish your legal rights under this Agreement without your explicit consent.
2. Protection of Users' Personal Information: Safeguarding your personal information is a fundamental principle of Wink and its affiliates. Wink and its affiliates will collect, store, use, manage, and protect your personal information in accordance with the Personal Information Protection Law of the People's Republic of China and other relevant laws and regulations, personal information protection standards, this Agreement, and the Wink Personal Information Protection Policy. If you have any questions about all or part of the Wink Personal Information Protection Policy, you may contact us using the contact information provided in the preamble.
3. Meitu Account and Security: To better use Wink, you may voluntarily register a Meitu account or use a randomly generated Meitu account when logging in through other methods. Please comply with Meitu Account Regulations when using your Meitu account. Please keep your login credentials (or credentials for other login methods) safe after obtaining your Meitu account. Failing to do so may lead to account theft or compromises that can damage your interest. You may terminate your account during use at any time in accordance with the Meitu Account Regulations. Wink Inc. will also manage your account in accordance with the Meitu Account Regulations.
4. User Conduct: You must use Wink in a lawful manner. Unless stated otherwise, any images, videos, or other content (such as music) published or shared by others that you view, share, save, favorite, or use on Wink should not be used for any commercial purposes. Additionally, if the original creator requests that their content not be shared, you are not permitted to do so.
5. For the AI-related services provided as part of the product, you must understand that before using the service, the content generated by AI depends on the in-depth learning of big data by artificial intelligence, and it is not ruled out that some of the information may be flawed, unreasonable or offensive. Therefore, you must ensure that you use this service to generate AI content legally, without infringing any third party's copyrights, trademarks, or other legal rights, and shall not use generated works for any illegal purposes; if your improper use causes damage to any third party's rights, you shall bear corresponding legal liabilities.
6. To prevent confusion or misidentification and to minimize the potential impact of inaccurate information, Wink's AI-related features will include clear and prominent indicators. Text generated by AI will display a visible notice at the end of the content or at the bottom of the interactive interface, and images generated by AI will have a visible notice in the lower-left corner, explicitly reminding users that the content is AI-generated.
7. You must not use Wink's AI features or any other new technologies or applications to create, publish, or disseminate false information. When you use, publish or disseminate content produced using new technologies and applications such as Wink's AI functions in any scenario, you must comply with the requirements of relevant laws and regulations and mark it in a prominent manner.
8. AI and Cloud Processing: You retain the intellectual property rights associated with the original images and videos contained in the content you create using Wink's video editing and retouching features (collectively, "User Content"). Wink offers a series of features, including image enhancement, animated photos, watermark removal, resolution restoration, 3D photo effects, and video frame interpolation. When you use these features, and upon granting authorization, your captured images and videos will be uploaded to our servers for cloud processing. After processing, the resulting User Content will be returned to your device. The upload and processing of this information are necessary to provide these features. We will take strict encryption measures during the transmission and storage of such information in accordance with legal requirements to ensure its security. The use of this information is limited solely to providing you with the relevant feature or service. Once the service is concluded, the system will automatically delete the given information, ensuring that it is not retained. For other features, Wink will not upload the aforementioned information to servers. This process involves uploading, editing, and creation of your images and videos. By using such features, you authorize Wink to access and use this content for the purpose of providing the feature. Wink products may undergo version iterations or upgrades in the future. This clause does not constitute a commitment by Wink Inc. to maintain specific functions/services, nor shall it alter the ownership and intellectual property rights of user-generated content, or impede lawful content utilization.
9. MT Community is a platform provided by Xiamen Hongtian Chuangshi Technology Co., Ltd. that allows users to share content. MT Community is available on the Meitu app and Wink app via API technology. Therefore, the templates you publish in the MT community, along with your avatar and nickname, will be displayed in the above apps. If templates you publish on Wink are synchronized and displayed in other applications such as the Meitu app, they may be used and edited by users on those apps. You may modify or delete the templates you have published under your Wink account, and your actions will be synchronized across the aforementioned apps.
10. User Content: Unless stated otherwise, you, your licensors, or your affiliates retain ownership, intellectual property rights, and other legal rights to the original content you upload through Wink or its related services. Before you create or share User Content, please pay attention to the following:
(1) If you wish to increase the exposure and publishing efficiency of your content, you must grant Wink and its affiliates a free, non-exclusive license to use your User Content as necessary to provide Wink platform services, optimize Wink products, and promote the value of the content you create on Wink and share on other platforms. This license may include creating, publishing, managing, or protecting your User Content. If you do not consent to this use of your your content or have any concerns, please notify Wink using the contact methods provided in this Agreement. Your authorization does not oblige Wink to use the aforementioned information and does not alter the ownership or intellectual property rights of such information. Furthermore, it shall not affect any lawful use of the said information by you.
(2) Wink has introduced "Voice Recognition" and "Text Reading" features to enhance user experience and better fulfill entertainment and sharing needs. When you use the "Voice Recognition", you are required to grant Wink permission to recognize the background audio contained in the videos you publish.
(2) Wink has introduced "Video Templates" features to enhance user experience and better fulfill entertainment and sharing needs. When you use the "Video Templates", Wink users may use lyrics, dialogues, background sounds, music, or other elements from videos you have published on the TM Community as backgrounds to create new videos, or utilize your video recipes to produce new video content. Ensure all images and videos you upload, publish or use are either your own creations or have been fully authorized by the rights holder, without infringing on the legitimate rights or interests of others. If you prefer that others don't use your lyrics, dialogues, background sounds, music, or other elements, you may contact us using the contact information provided in this Agreement.
(4) If your rights and interests are violated, resulting in harm to Wink and its affiliates - such as a third party infringing on the copyright of content you create, share and publish on Wink - you agree to collaborate with Wink. and its affiliates. You authorize them to represent you in taking measures against any infringing third party, including issuing warnings, filing complaints, initiating or participating in administrative or legal (civil or criminal) proceedings, or negotiating settlements. You may also participate in these enforcement actions as deemed necessary by Wink and its affiliates.
(5) Before publishing content on the Community, Wink reminds you that you should comply with the following:
1. Comply with applicable laws and Community regulations, ensuring that any content you publish, including its sources, is lawful and does not infringe the rights of any third party.
(2) To increase the exposure of the content you publish on Wink, Wink may, while retaining your account nickname and author watermark, synchronize or distribute your published content to other platforms operated by Wink, its affiliates, or partners. If you do not agree with this method of exposure or have any questions, please notify Wink through the contact methods provided in this Agreement.
9. User Content Creation and Sharing: You shall be responsible for the accuracy, authenticity, and legality of any user content created or shared through the use of Wink. If you need to obtain prior authorization or approval from the right-holder of the information content or any authorized third party (including but not limited to other online platforms, hereinafter collectively referred to as the "Authorized Party"), you shall not publish or create such content until you have obtained the authorization. You must strictly comply with all applicable laws and regulations and shall not directly or indirectly use Wink to create or share any of the following information:
(i) Information that endangers national and social security, including but not limited to information that opposes the fundamental principles stated in the Constitution; information that endangers national security, divulges state secrets, subverts state power or undermines national unity; information that incites ethnic hatred or discrimination or undermines ethnic solidarity; information that undermines national religious policies or propagates cults or superstitions; information that disseminates rumors, disturbs social order or disrupts social stability; information that propagates gambling, violence, murder or terrorism or incites crime; information that incites unlawful assembly, association, procession or demonstration, or gathers crowds to disturb social order; any other information prohibited by law, administrative regulations or national regulations.
(ii) Insecure information, which may include, without limitation, content that contains any link to a phishing website, links to websites or content that contain Trojans or other viruses, content that is potentially harmful or violates others’ privacy, and external links, QR codes or other media that affect user experience or have been reported by users and not undergone the necessary review processes.
(iii) Spam marketing information, which may include but is not limited to: engaging in the business of buying and selling followers; engaging in the business of brushing comments, reposts, double-hashtag topic words, searches, votes, and prize-winning activities; sending a large number of advertising messages to others' pages through non-human means such as machines or software; meaningless and repetitive content sent by machine scraping; using system vulnerabilities to interfere with the normal operation of Wink (such as stealing other users' accounts); marketing information that affects user experience or is reported by a large number of users and is in nature of promotion and advertising.
(iv) Obscene and pornographic information, including but not limited to information such as those that involves solicitation of prostitutes, casual sex and sexual partners, and information related to the posting of content such as erotic texts, erotic videos, erotic pictures, and information related to long-term posting of content of a probable obscene and pornographic nature or any other content of a suggestive sexual nature.
(v) Information that infringes on the rights of others, including but not limited to their legitimate rights under the law, including the right to a sound reputation, the right of publicity, the right to privacy and intellectual property rights.
(vi) Information that creates unfair competition, including but not limited to information related to the tampering, adding, subtracting and deleting of ownership markings, or information related to posting of unauthorized content and the like.
(v) Any other information that violates the laws, regulations, policies, social order, and good customs, interferes with the normal operations of Wink, or infringes on the legitimate rights and interests of any third party.
If you violate this Agreement, you agree that Wink may, at its discretion or as required by law and policies, and without prior notice to you, (1) suspend or terminate the software license granted to you and cease to provide technical services, and take measures including but not limited to restricting your use of your Meitu Account or freezing or terminating your Meitu Account at the risk of you being unable to use your Meitu Account; (2) refer you to an administrative enforcement agency or judiciary authority to assess your legal liability. You shall be solely liable for any damage caused to any third party (including Wink and its affiliates) as a result of your violation of this Agreement, and agree to compensate Wink and its affiliates for any losses thus incurred.
11. Handling of Complaints and Reports: Wink encourages you to join in safeguarding and supervising the compliance and integrity of the environment for use of Wink. Wink has the right to immediately take necessary measures, with no prior notice, to stop any user from any misconduct or illegal behavior, whether identified by Wink or verified by Wink based on any report or complaint.
12. Value-added Services: Wink and its Affiliates may charge fees for certain services provided ("Value-added Services"). If you choose to use those Value-added Services, the relevant agreement shall be complied. If you do not agree to the relevant agreement and its amendments and modifications, please suspend your use of the related Value-added Services. You may contact Wink via contact details as first written above. If you are a minor under 14 years of age, you must carefully read the Wink VIP Terms of Service with your legal guardian and obtain their consent before accepting the Agreement or its services.
13. Intellectual Property Rights Notice:
(1) The intellectual property rights in all versions, technologies, programs, material, items and all information provided with Wink (collectively referred to as "Wink Information", including but not limited to product features, user interfaces, operating steps, trademarks, patents, computer software) shall be vested in Wink, or Wink's licensors or Affiliates. The grant of a license to you by Wink and its Affiliates to use the software provided by Wink shall in no event be deemed a transfer to you of all or part of the intellectual property rights therein.
(2) Any material that you download from Wink and any other Wink contents may be used for the purpose of your personal entertainment, learning, research or appreciation. You shall not use such material and content for any commercial purposes without the written consent of Wink.
(3) You may use the content generated by Wink's AI features (referred to as "AI-generated content") as long as you comply with applicable laws and the terms of this Agreement. You will hold all rights and interests related to the creation and use of this AI content. However, you are fully responsible for any misuse of AI-generated content.
(4) To ensure the stable operation of Meitu's AI features and enhance product optimization, Meitu will store AI-generated content within the permitted scope as allowed by law and use it for product improvement and AI technology research.
14. Your Rights Regarding Intellectual Property and Image Use:
(1) Wink respects and protects your intellectual property rights. If your work is altered, misrepresented, or misused without your permission, you can seek remedies through legal or administrative channels. Wink will provide assistance if needed.
(2) Wink respects and is committed to protecting your legitimate rights and interests, including your rights to your image and reputation. If you use Wink and its related services and believe that your rights to portrait, reputation, or other legitimate interests have been violated, you can seek remedies from the infringer through legal, administrative, or other means. Should you require assistance from Wink, we will do our utmost to help you.
15. Third-Party Services: Some features and services in Wink (such as voice recognition, text reading) are provided by third parties. You acknowledge that Wink is the platform's service provider, while the third-party features and services are managed independently by the respective third parties, which bear full responsibility for their management. Please take the time to read the Terms of Service and any other relevant documents from third parties, and use their features and services with care. Wink does not intervene in any disputes or conflicts of interest between you and third parties.
16. Force majeure and other exemptions: Wink may be affected by various force majeure events or other factors. These include, but are not limited to, political issues, social conditions, natural disasters, economic crises, computer viruses or hacker attacks, server or system instability, unexpected regulatory changes, network failures, network congestion, communication line issues, and computer malfunctions (collectively referred to as "Exemptions"). If you experience any losses due to the Exemptions mentioned above, Wink will not be held liable to the extent allowed by law and policy. However, in such cases, Wink will make every effort to address and resolve issues promptly.
17. Governing law and jurisdiction: This Terms of Service is governed by the laws of the People's Republic of China. Any disputes under this Agreement shall fall under the jurisdiction of the court over the place where the defendant is located.
18. Definitions and additional information
(1) "Wink" is an app developed, operated and managed by Wink and its Affiliates that aims to provide you with a free, non-exclusive and worldwide software license and technical services within the scope of this Agreement. Under this Agreement, "Wink" may, depending on the context, refer to the Wink mobile application or the related technical services provided by Wink in connection with the Wink software product.
(2) "Wink" refers to Xiamen Hongtian Chuangshi Technology Co., Ltd. or any authorized operating company designated by Xiamen Hongtian Chuangshi Technology Co., Ltd. to manage, launch, and promote various versions of Wink, including Xiamen Meitu Technology Co., Ltd.
(3) "User Content" refers to any materials that may include, but are not limited to, user profiles, text, audio, images, videos, and other materials created or shared through the use of Wink.
(4) "Elements" refers to the related materials and information that have been or will be provided by Wink and built into Wink, and that can be used to edit your photos and videos, including but not limited to fonts, text, special effects, stickers, borders, backgrounds, templates and music.
(5) "Publishing" encompasses the entire process or any part where users record, store, submit, transmit, and share information on the platform in various formats, allowing themselves, other users, or the general public to access that information.
